These Terms of Service ("Terms") govern your use of the Nudge mobile application (the "App") operated by nudge LLC ("Nudge," "we," "us," or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the App.
Nudge is an app that helps you set reminders, build habits, and stay on track with your goals.
You must be at least 18 years old to use the App. By using the App, you represent that you are at least 18 years of age.
You may create an account using Apple Sign-In, Google Sign-In, or email and password. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
You agree to provide accurate information when creating your account and to notify us promptly if you believe your account has been compromised.
Nudge is currently in beta. The App is provided on an "as is" and "as available" basis. During beta:
Your participation in the beta is voluntary. You may stop using the App and request deletion of your data at any time.
Your voice collaborator is an AI assistant. Its responses are generated by artificial intelligence and may not always be accurate, complete, or appropriate. Specifically:
You acknowledge that Nudge uses third-party AI services to power your voice collaborator's responses, and that your conversation data is processed by these services as described in our Privacy Policy.

We reserve the right to suspend or terminate your account if you violate these terms.
The App, including its design, code, features, and branding, is owned by nudge LLC and is protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand features.
You retain ownership of any content you provide to the App (such as the topics you discuss with your voice collaborator). By using the App, you grant us a limited license to process your content as necessary to provide and improve the service.
Nudge is currently free during the beta period. We may introduce paid features or subscription plans in the future. If we do, we will notify you in advance, and any charges will require your explicit consent before billing.
Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the App, you agree to our Privacy Policy.
The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
To the maximum extent permitted by law, nudge LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the App.
Our total aggregate liability for all claims arising from or related to the App shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or fifty dollars (US $50), whichever is greater.
You agree to indemnify and hold harmless nudge LLC and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the App or violation of these Terms.
You may stop using the App and delete your account at any time.
We may suspend or terminate your access to the App at any time, with or without cause or notice. Upon termination, your right to use the App ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) will survive.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App or on our website. The "Last updated" date at the top will reflect the most recent revision. Your continued use of the App after changes are posted constitutes your acceptance of the updated Terms.
These Terms are governed by the laws of the United States, without regard to conflict of law principles.
Any dispute arising from these Terms or your use of the App will be resolved through binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if eligible. You and nudge LLC each waive the right to a jury trial and the right to participate in a class action, collective action, or representative proceeding.
Arbitration will be conducted under the Consumer Arbitration Rules of the American Arbitration Association (AAA). The arbitrator's decision will be final and binding.
30-day opt-out: You may opt out of this arbitration agreement by sending written notice to the address below within 30 days of creating your account. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, you may still use the App; disputes will instead be resolved in the courts of competent jurisdiction in the United States.
